Services

Matthew Carlson Consulting provides AI automation, digital marketing, and technology consulting services. The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate Statement of Work (SOW) or service agreement signed by both parties.

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for us to perform the services
• Respond to requests for information, approvals, or feedback in a timely manner
• Ensure you have the authority to provide access to systems, accounts, and data as needed
• Comply with all applicable laws and regulations related to your business operations

Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for accounts more than 30 days past due

Intellectual Property

Your Content

You retain ownership of all content, data, and materials you provide to us. You grant us a limited license to use such materials solely for the purpose of providing the agreed-upon services.

Our Work Product

Upon full payment, you will own the deliverables specifically created for you as outlined in your service agreement. We retain ownership of our pre-existing tools, methodologies, frameworks, and general knowledge, which we may use for other clients.

Confidentiality

We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law. This obligation survives the termination of our engagement.

Warranties and Disclaimers

We will perform services in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee specific results, rankings, or revenue outcomes
• Our website and content are provided "as is" without warranties of any kind
• We are not responsible for third-party platforms, APIs, or services that may affect deliverables

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Indemnification

You agree to indemnify and hold harmless Matthew Carlson Consulting from any claims, damages, or expenses arising from your violation of these Terms, your misuse of our services, or your violation of any third-party rights.

Termination

Either party may terminate an engagement with 30 days written notice. Upon termination:

• You will pay for all services rendered through the termination date
• We will return or destroy your confidential information upon request
• Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dane County, Wisconsin.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes constitutes acceptance of the revised Terms.
